Terms of Service

Welcome to Brainstorm. Brainstorm is a product and online service operated by Rhee Collective LLC ("Rhee Collective," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Brainstorm platform ("Brainstorm" or "the Platform").
By creating an account or using Brainstorm, you agree to these Terms. If you do not agree to these Terms, you may not use the Platform.
1. Description of Brainstorm
Brainstorm is a technology platform designed to help users capture, develop, evaluate, validate, organize, and act on ideas.
Brainstorm may provide features including:
- Idea storage and organization
- AI-powered idea analysis
- Idea scoring and evaluation
- Market and research analysis
- Roadmap generation
- Task and calendar management
- Collaboration tools
- Posts, comments, and messaging
- Profiles and reputation features
- Third-party integrations
- Other tools and features that Brainstorm may introduce over time
Features may change, be added, or be discontinued as Brainstorm develops.
2. Eligibility
You must provide accurate information when creating an account.
By using Brainstorm, you represent that:
- The information you provide is accurate and current
- You have the legal capacity to agree to these Terms
- You will use Brainstorm only for lawful purposes
- You will comply with these Terms and applicable laws
If you are using Brainstorm on behalf of an organization, you represent that you have authority to accept these Terms on that organization's behalf.
3. User Accounts
You are responsible for maintaining the security of your Brainstorm account and credentials.
You are responsible for activities that occur under your account unless those activities result from unauthorized access that was not reasonably within your control.
You agree to:
- Provide accurate account information
- Keep your account information reasonably current
- Maintain the confidentiality of your login credentials
- Notify Brainstorm of suspected unauthorized access
- Not share your account credentials with others
Brainstorm may require additional verification or security measures to protect accounts and the Platform.
4. Your Content and Intellectual Property
You retain ownership of the intellectual property rights you have in the content you submit to Brainstorm, subject to applicable law.
This may include ideas, written content, images, posts, comments, messages, business materials, and other content you create or submit.
Brainstorm does not claim ownership of your intellectual property merely because you submit it to the Platform.
However, by submitting content to Brainstorm, you grant Brainstorm a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, process, and otherwise use that content as reasonably necessary to:
- Provide and operate Brainstorm
- Make your content available according to your privacy and sharing settings
- Provide requested AI-powered features
- Synchronize information with services you choose to connect
- Maintain, secure, and improve the Platform
- Prevent fraud, abuse, and security violations
- Comply with applicable law
This license does not transfer ownership of your content to Brainstorm.
You may stop this license with respect to content by deleting that content or your account, except to the extent Brainstorm is required or permitted to retain or use the content under applicable law or legitimate operational requirements.
5. Responsibility for Your Content
You are responsible for the content you submit to Brainstorm.
You represent that you have the rights, permissions, and authority necessary to submit that content and allow Brainstorm to process it as described in these Terms and our Privacy Policy.
You agree not to submit content that:
- Violates applicable law
- Infringes another person's intellectual property rights
- Violates another person's privacy rights
- Contains malicious code or harmful software
- Is intentionally fraudulent or deceptive
- Contains unauthorized confidential information belonging to another person or organization
- Violates these Terms or applicable Community Guidelines
Brainstorm does not guarantee that user-generated content is accurate, lawful, reliable, or appropriate.
6. Idea Privacy and Confidentiality
Brainstorm provides privacy and visibility controls that allow users to determine how certain ideas and content are shared.
Ideas are private by default unless you choose to share them through available Brainstorm functionality.
However, Brainstorm's privacy controls do not constitute a legal confidentiality agreement, non-disclosure agreement, trade-secret agreement, or guarantee of legal protection.
If you are developing an idea that requires legally enforceable confidentiality, you should consider obtaining appropriate legal protection or entering into an appropriate confidentiality or non-disclosure agreement.
You are responsible for determining what information you choose to submit to Brainstorm and what information you choose to share with others.
7. AI Features and AI-Generated Content
Brainstorm provides AI-powered features designed to assist with idea development, research, analysis, scoring, planning, and other activities.
AI-generated content may be inaccurate, incomplete, outdated, biased, or inappropriate.
AI outputs are provided for informational and planning purposes and should not be treated as guaranteed facts, professional advice, or a substitute for qualified professional judgment.
Brainstorm does not guarantee that:
- An idea will succeed
- AI-generated market research is complete or accurate
- An AI-generated score accurately predicts an idea's potential
- A roadmap will produce a particular result
- AI-generated recommendations are suitable for your specific circumstances
You are responsible for independently evaluating AI-generated information before relying on it.
Brainstorm does not provide legal, financial, tax, investment, medical, or other professional advice through its AI features.
8. Third-Party AI Services
Brainstorm uses third-party AI technology providers through its infrastructure to provide certain AI-powered features.
Depending on the feature, requests may be processed using technology operated by Google, Anthropic, OpenAI, or other providers that may be introduced in the future.
When you use an AI-powered feature, information you submit may be transmitted to the applicable provider as necessary to generate the requested output.
The handling of such information is also subject to the applicable third-party provider's terms and policies.
9. Google Calendar Integration
Brainstorm may allow you to connect your personal Google Calendar account.
Google Calendar integration requires you to authorize Brainstorm to access your Google Calendar.
When connected, Brainstorm may create, update, and delete calendar events corresponding to Brainstorm tasks that you choose to synchronize.
If you move or modify a synchronized Brainstorm task, Brainstorm may update the corresponding Google Calendar event.
When you disconnect the integration, Brainstorm may remove the Google Calendar events that Brainstorm created for your synchronized tasks.
Brainstorm is designed to manage only the Google Calendar events it creates and not unrelated events belonging to you.
Your use of Google Calendar remains subject to Google's applicable terms and policies.
You may disconnect Google Calendar through the available Brainstorm settings or synchronization controls.
10. Acceptable Use
You agree not to use Brainstorm to:
- Violate any applicable law or regulation
- Post or distribute fraudulent, deceptive, or intentionally misleading content
- Infringe or misappropriate another person's intellectual property
- Violate another person's privacy or confidentiality
- Harass, threaten, intimidate, or abuse another user
- Impersonate another person or organization
- Engage in scams, fraud, or other deceptive activity
- Upload malicious software, viruses, or harmful code
- Attempt to gain unauthorized access to Brainstorm or another user's account
- Scrape, copy, or systematically collect information from Brainstorm without authorization
- Circumvent security, access controls, rate limits, or other Platform restrictions
- Manipulate reputation scores, rankings, achievements, or other Platform systems through fraudulent activity
- Spam or send unauthorized commercial communications
- Interfere with the operation or security of Brainstorm
- Use Brainstorm to facilitate illegal activities
- Use Brainstorm to violate another person's legal rights
- Attempt to reverse engineer or extract protected portions of the Platform except where expressly permitted by applicable law
Brainstorm may investigate suspected violations and take appropriate action.
11. Community and User Interactions
Brainstorm may allow users to interact with one another through posts, comments, messages, collaboration tools, and other features.
You are responsible for your interactions with other users.
Brainstorm does not guarantee the identity, reliability, qualifications, intentions, or conduct of any user.
You should independently evaluate information and people you encounter through the Platform.
Brainstorm may provide reputation scores, verification indicators, achievements, or similar features. These features are informational and do not guarantee that a user is trustworthy, qualified, successful, or safe to work with.
12. Intellectual Property of Brainstorm
The Brainstorm Platform, including its software, design, branding, logos, trademarks, interfaces, features, documentation, and original materials, is owned by or licensed to Rhee Collective LLC and is protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or create derivative works from Brainstorm's proprietary materials.
You may not use Brainstorm's trademarks, branding, or logos without prior written permission.
13. Third-Party Services
Brainstorm may rely on or integrate with third-party services, including hosting providers, authentication services, AI providers, email providers, calendar services, analytics services, and other technology providers.
Third-party services may have their own terms, policies, limitations, and availability.
Brainstorm is not responsible for the availability, performance, security, accuracy, or policies of third-party services that Brainstorm does not control.
A change, interruption, or failure of a third-party service may affect Brainstorm functionality.
14. Availability and Changes to the Platform
We work to keep Brainstorm available and reliable, but we do not guarantee uninterrupted or error-free operation.
Brainstorm may experience interruptions due to:
- Maintenance
- Updates
- Technical failures
- Security incidents
- Third-party service outages
- Internet or infrastructure failures
- Events outside our reasonable control
We may modify, suspend, or discontinue features of Brainstorm at any time.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRAINSTORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
BRAINSTORM DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
BRAINSTORM DOES NOT WARRANT THAT:
- THE PLATFORM WILL ALWAYS BE AVAILABLE
- THE PLATFORM WILL BE ERROR-FREE
- INFORMATION PROVIDED THROUGH THE PLATFORM WILL ALWAYS BE ACCURATE OR COMPLETE
- AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE
- THE PLATFORM WILL MEET YOUR PARTICULAR REQUIREMENTS
- USING BRAINSTORM WILL RESULT IN A SUCCESSFUL BUSINESS, PRODUCT, IDEA, OR FINANCIAL OUTCOME
You are responsible for your own business, financial, legal, and other decisions.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RHEE COLLECTIVE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE BRAINSTORM.
THIS MAY INCLUDE LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
BRAINSTORM IS NOT RESPONSIBLE FOR LOSSES ARISING FROM:
- RELIANCE ON AI-GENERATED INFORMATION
- BUSINESS DECISIONS BASED ON BRAINSTORM CONTENT
- USER-GENERATED CONTENT
- ACTIONS OF OTHER USERS
- THIRD-PARTY SERVICE OUTAGES OR FAILURES
- GOOGLE CALENDAR SYNCHRONIZATION ISSUES
- UNAUTHORIZED ACCESS TO YOUR ACCOUNT RESULTING FROM YOUR FAILURE TO PROTECT YOUR CREDENTIALS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAINSTORM'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO BRAINSTORM FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100.
Nothing in these Terms limits liability that cannot legally be limited under applicable law.
17. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Rhee Collective LLC and its owners, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to:
- Your violation of these Terms
- Your misuse of Brainstorm
- Your content
- Your violation of another person's rights
- Your violation of applicable law
- Your interactions with other users
18. Account Suspension and Termination
You may stop using Brainstorm at any time.
Brainstorm may suspend or terminate your account or restrict access to the Platform if we reasonably believe that you:
- Violated these Terms
- Violated applicable law
- Threatened the security or integrity of the Platform
- Engaged in fraud, abuse, or harmful activity
- Created risk or potential legal exposure for Brainstorm or other users
Where reasonably practicable, Brainstorm may provide notice before termination or suspension, except when immediate action is necessary to protect users, the Platform, or comply with legal requirements.
Upon termination, your right to use Brainstorm will end.
Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute-related provisions, will survive.
19. Data and Account Deletion
Account and data deletion is subject to Brainstorm's Privacy Policy and applicable law.
When an account is deleted, Brainstorm may remove or de-identify associated information, subject to information that must or may be retained for legal, security, fraud-prevention, dispute-resolution, or other legitimate purposes.
Information stored independently by third-party services may remain subject to those services' own policies.
20. Changes to These Terms
We may modify these Terms from time to time.
If we make material changes, we may provide notice through Brainstorm, email, or other reasonable means.
Where required, we may require you to review and accept updated Terms before continuing to use Brainstorm.
The Effective Date at the beginning of these Terms indicates when the current version became effective.
21. Governing Law
These Terms will be governed by applicable law, without regard to conflict-of-law principles, except to the extent that applicable law provides otherwise.
Any dispute-resolution provisions that apply to your use of Brainstorm may be established or modified in future versions of these Terms as Brainstorm's or Rhee Collective LLC's legal and business structure develops.
